Agreement to Terms

By accessing or using the services provided by Vespper, Inc. ("Vespper," "we," "us," or "our"), including our website and AI-powered document platform (collectively, the "Services"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, do not use our Services.

These Terms incorporate our Privacy Policy, which describes how we collect and use your personal data.

Use of Services

Vespper provides an AI-powered platform for regulatory and life-science professionals to write, revise, and review long-form documents. You agree to:

• Use the Services only for lawful purposes
• Not attempt to gain unauthorized access to our systems or another user's account
• Not interfere with or disrupt the Services or servers
• Maintain the confidentiality of your account credentials
• Not reverse engineer, decompile, or attempt to extract the source code of the Services
• Not scrape, crawl, or otherwise extract data from the Services by automated means
• Not submit content that infringes third-party intellectual property rights or violates applicable law
• Not use the Services to generate content intended to mislead regulators or other parties

Customer Content

You retain all ownership rights to documents, files, and data you upload to the Services ("Customer Content"). By uploading Customer Content, you grant Vespper a limited, non-exclusive license to process and store that content solely to provide the Services to you.

We do not use Customer Content to train AI models or share it with third parties except as necessary to operate the Services or as required by law.

You represent and warrant that you have all necessary rights and permissions to upload the Customer Content and that doing so does not violate any applicable law or third-party rights.

AI-Generated Output

The Services use artificial intelligence to assist in document drafting and review. AI-generated outputs are provided for informational and drafting assistance purposes only. They do not constitute legal, regulatory, medical, or professional advice.

You own the content generated by the Services on your behalf. Vespper claims no ownership rights over outputs produced using your inputs and Customer Content.

You are solely responsible for reviewing, validating, and approving any AI-generated content before use or submission. Vespper makes no warranty as to the accuracy, completeness, or regulatory acceptability of AI-generated outputs.

Intellectual Property

All content, features, and functionality of the Vespper platform — including the software, design, trademarks, and underlying technology — are owned by Vespper, Inc. and protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms transfers any ownership rights to you.

Accounts and Termination

You are responsible for all activity that occurs under your account. You must notify us immediately at legal@vespper.com of any unauthorized use of your account.

We reserve the right to suspend or terminate your account at any time if you violate these Terms, engage in fraudulent activity, or for any other reason at our discretion with reasonable notice. You may terminate your account at any time by contacting us.

Subscription and Payment

Certain features of the Services require a paid subscription. By subscribing, you authorize us to charge your payment method on a recurring basis at the rate and frequency displayed at the time of purchase.

Subscriptions auto-renew unless cancelled before the renewal date. Refunds are not provided for partial billing periods except where required by applicable law.

We reserve the right to change pricing with at least 30 days' notice. Continued use of the Services after a price change constitutes acceptance of the new pricing.

Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VESPPER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES — ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO VESPPER IN THE TWELVE MONTHS PRECEDING THE CLAIM.

Indemnification

You agree to indemnify and hold harmless Vespper, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your use of the Services, your Customer Content, your violation of these Terms, or your violation of any applicable law or third-party rights.

Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any disputes arising from these Terms or the Services shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware.

Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the platform at least 14 days before they take effect. Continued use of the Services after the effective date constitutes acceptance of the updated Terms.
